1. Who we are

"GoatLabels", "we", "us" or "our" refers to Goat Labels LLC, the operator of the GoatLabels dashboard, public API, and related services (together, the "Service"). "You" or "Customer" means the individual or entity that has registered an account.

2. The Service

GoatLabels lets you fund a prepaid balance and use that balance to purchase shipping labels from third-party carriers (currently USPS, UPS, FedEx and DHL via our carrier partners). We are not a carrier. Once a label is purchased, the underlying carrier is responsible for transit, delivery, claims, and any service-level guarantees.

3. Accounts

You must be at least 18 years old and able to enter into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately at billy@goatlabels.io if you suspect unauthorized access.

4. Prepaid balance, top-ups and refunds

Top-ups (whether by card, crypto, or other supported methods) credit your prepaid balance. Crypto top-ups are credited once the corresponding on-chain transaction reaches the confirmation threshold we set per asset. Balance amounts are denominated in your account currency at the time of crediting.

Label purchases debit the prepaid balance for the all-in price quoted at the time of purchase, including any insurance premium captured at quote time. Carrier-issued refunds (for example, voided or unused labels) credit back to your prepaid balance, not back to your original funding method. Prepaid balances are non-transferable and may not be cashed out except where required by applicable law.

5. Carrier billing adjustments and payment authorization

You are responsible for providing accurate package information on every shipment — including weight, dimensions, residential or commercial delivery classification, service level, the ship-from address, and any other inputs that affect rating. The ship-from address must be the actual location where the package will be tendered to the carrier. Declaring a different origin to obtain a cheaper zone or rate is prohibited. The price quoted at label purchase is based on the information you supply at that moment.

Carriers and our shipping platform partners may audit packages after pickup. If the carrier determines that the actual shipment differs from what was declared (for example, a package re-weighed heavier than stated, dimensional-weight billing, a residential surcharge, or tender at a different origin than the declared ship-from address), the carrier may bill an additional amount from the true induction point. That charge is passed from the carrier through our shipping platform partner to GoatLabels and is allocated to the account that purchased the label.

When GoatLabels receives such a post-shipment billing adjustment on your shipment, we will debit your prepaid GoatLabels balance for the full amount owed. If your prepaid balance is insufficient, you expressly authorize GoatLabels to charge your payment method on file (including via off-session card charges processed through our payment processor) for any remaining balance, without additional notice at the time of each charge.

Where we reasonably suspect fraud, origin misrepresentation, zone arbitrage, or other abuse, we may hold, freeze, or set off prepaid balances — including unused wallet funds and void-refund credits — pending carrier reconciliation and review. If a label is voided in the Service but the carrier later shows the label was used or tendered, we may reverse the corresponding void-refund credit and debit any resulting carrier charges.

Failure to pay outstanding carrier adjustments may result in account suspension, blocked label purchases, and collection of amounts owed through any payment method you have provided until the balance is settled. You agree to maintain a valid payment method on file while using prepaid shipping through the Service. By adding funds to your GoatLabels account, you confirm that you have read and agree to these Terms of Service, including this section.

6. Pricing

Per-shipment pricing is shown in your quote and is the authoritative amount that will be debited at purchase. Subscription pricing is shown on the in-app billing screen. We may change subscription pricing on at least 30 days' notice.

7. Acceptable use

You agree to comply with our Acceptable Use Policy and with all applicable laws and carrier regulations, including restrictions on dangerous, hazardous, illegal, or otherwise prohibited items.

8. Public API

Use of the public API is subject to the documented rate limits and to your subscription plan's API call quota. We may throttle, suspend, or disable API access in response to abuse, sustained errors, or suspected security incidents.

9. Suspension and termination

We may suspend or terminate access to the Service for violations of these terms, our Acceptable Use Policy, applicable law, or carrier rules; for non-payment of subscription fees; or for activity that poses a security or fraud risk. You may close your account at any time from the in-app account settings.

10. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the maximum extent permitted by law, GoatLabels' aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to the claim, or (b) one hundred US dollars. We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.

12. Changes to these terms

We may update these terms from time to time. Material changes will be announced via in-app notice or email at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated terms.
